1.Introduction and Acceptance
These Terms of Service ("Terms") form a legally binding agreement between xGenie LLC ("xGenie," "Rankey," "we," "our," or "us") and the person or entity accessing or using Rankey ("Customer," "you," or "your"). Rankey is available through rankey.net, the Rankey application, related websites, APIs, hosted pages, analytics, workflows, and support services (collectively, the "Services").
By creating an account, accessing the Services, clicking to accept these Terms, or using any part of the Services, you confirm that you have read, understood, and agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization and its authorized users.
If you do not agree to these Terms, you may not access or use the Services. Additional terms may apply to specific features, order forms, data processing agreements, beta programs, or third-party services. If there is a conflict, the more specific written terms control for that feature or transaction.
2.Rankey Services
Rankey is an AI visibility, generative engine optimization, programmatic SEO, and content publishing platform. The Services may help you analyze how AI systems and search experiences describe a website or brand, compare competitors, generate content ideas and drafts, prepare pSEO page sets, connect domains or hostnames, and publish content or pages to destinations you configure.
Rankey is software and does not provide legal, financial, advertising, tax, security, or professional marketing advice. GEO scores, search visibility reports, recommendations, generated drafts, and pSEO outputs are informational tools. You are responsible for reviewing them before relying on them or publishing them.
The Services may change over time. We may add, modify, suspend, or discontinue features, integrations, models, workflows, or usage limits. We will use commercially reasonable efforts to avoid material disruption to paid Services, but we do not guarantee that every feature will remain available indefinitely.
Unless a separate written agreement states otherwise, we do not provide a guaranteed uptime commitment, service level credit, managed SEO service, or managed publishing service. Support is provided through the support channels, priority level, and response expectations available for your plan.
Features labeled beta, preview, experimental, early access, or similar may be less reliable, may change without notice, and may be discontinued. You should not rely on beta features for critical production workflows unless we have agreed otherwise in writing.
3.Accounts, Workspaces, and Authorized Users
You may need an account to use the Services. You agree to provide accurate registration, profile, workspace, billing, and contact information and to keep that information current.
Rankey is organized around workspaces. A workspace may contain domains, GEO analyses, content plans, pSEO projects, generated outputs, publishing destinations, API settings, billing records, and related activity. You are responsible for all activity that occurs under your account and within workspaces you own, administer, or authorize.
You must protect account credentials, OAuth access, API keys, webhook secrets, publishing endpoint credentials, and other security information. You must promptly notify us at [email protected] if you believe your account or workspace has been compromised.
You may invite authorized users to a workspace where the product permits it. You are responsible for ensuring those users comply with these Terms and for removing access when a user should no longer use the workspace.
You consent to receive notices electronically through the Services, your account, email, billing portal, or other contact information you provide. Notices are considered received when sent or posted unless applicable law requires a different rule.
4.Subscriptions, Credits, and Payment
Certain Services require a paid subscription, usage credits, or other fees. The applicable pricing, credit amounts, billing cycle, renewal terms, feature limits, and taxes are shown at checkout, in the application, on an order form, or in another written agreement between you and Rankey.
Payments are processed by third-party payment processors, including Stripe. By providing a payment method, you authorize Rankey and its payment processors to charge applicable fees, taxes, renewals, and other amounts owed for your plan.
Subscriptions renew automatically unless canceled before the renewal date. If payment fails or remains overdue, we may suspend or limit access to paid features, generated outputs, publishing, domain deployment, or other Services until payment is received.
Credits are a contractual usage allowance for the Services. Credits are not cash, have no cash value, are not transferable, and may expire at the end of the applicable billing period unless the plan or order form states otherwise. We may adjust credit rules to prevent abuse or account for changes in model, crawl, infrastructure, or third-party costs.
Fees are non-refundable except where required by law or expressly stated in your plan, checkout page, order form, or separate written refund policy. You are responsible for all taxes, duties, and similar governmental charges, excluding taxes based on our net income.
If you upgrade, downgrade, cancel, or change a plan, the change may affect credits, feature availability, project limits, historical access, billing dates, and renewal amounts. We may correct pricing or billing errors even if we have already issued an invoice or received payment.
Free trials, free plans, promotional credits, and discounted subscriptions may be modified, suspended, or discontinued at any time unless a written agreement states otherwise. We may limit or revoke promotional usage if we reasonably believe it is being abused.
5.Customer Content and Rights
"Customer Content" means information, data, text, files, prompts, keywords, URLs, domains, competitors, CSV or page data, templates, brand information, generated drafts, pSEO page sets, publishing destinations, credentials, analytics, and other materials that you submit to, configure in, or generate through the Services.
As between you and Rankey, you retain ownership of Customer Content. You grant Rankey a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, modify, and create derivative works from Customer Content only as needed to provide, secure, support, improve, and operate the Services and as otherwise permitted by these Terms or our Privacy Policy.
You represent and warrant that you have all rights, consents, permissions, and lawful bases necessary to submit Customer Content to Rankey, direct Rankey to crawl or analyze websites, connect domains or hostnames, use third-party data sources, and publish content to any destination you configure.
You are solely responsible for the accuracy, legality, originality, quality, and suitability of Customer Content and for any content that you choose to publish. Rankey is not responsible for claims, rankings, citations, compliance statements, or other materials you publish through or after using the Services.
If you direct Rankey to analyze a public website, competitor website, AI search response, search result, sitemap, robots file, or similar public source, you authorize Rankey to retrieve, process, summarize, and store relevant information from that source for the requested workflow.
You are responsible for keeping your own copies of Customer Content and published outputs. Rankey is not a long-term archive for your business records, legal records, website backups, or published content.
6.AI Features, Outputs, and Human Review
The Services use third-party and internal AI systems to generate reports, summaries, scores, recommendations, content briefs, drafts, page templates, metadata, and other outputs. AI outputs are probabilistic and may be inaccurate, incomplete, outdated, offensive, non-compliant, or similar to content generated for other users.
You must independently review AI outputs before relying on them, making business decisions, or publishing them. You are responsible for verifying factual claims, citations, pricing, legal statements, competitor comparisons, medical or financial statements, advertising claims, and intellectual property rights.
As between you and Rankey, and subject to applicable law and third-party rights, you may use outputs generated for your workspace for your business purposes. Rankey does not guarantee that any output is protectable by copyright or exclusive to you.
Rankey does not guarantee AI visibility, search rankings, citation frequency, traffic, revenue, customer acquisition, model responses, or any specific SEO or GEO result. Search engines, AI providers, crawlers, and ranking systems are controlled by third parties and change frequently.
We do not use Customer Content to train Rankey-owned foundation models. Third-party AI providers may process inputs and outputs under their own enterprise, API, or platform terms. Where available, we configure providers to restrict secondary use such as provider model training, but provider commitments are governed by their own terms and policies.
AI outputs may not be unique. Similar prompts, common source material, or common market facts may produce similar outputs for different users. You are responsible for checking whether an output is appropriate for your intended use.
7.Domains, DNS, pSEO, and Publishing
If you connect a domain, subdomain, custom hostname, DNS record, Cloudflare configuration, webhook, content management system, or publishing endpoint, you represent that you have authority to do so and that your configuration will not violate third-party rights, laws, platform rules, or security obligations.
Rankey may provide DNS instructions, CNAME targets, TXT validation records, Cloudflare Custom Hostname workflows, pSEO base paths, page routes, sitemaps, robots rules, templates, and other deployment settings. You remain responsible for DNS changes, hosting behavior, origin availability, cache behavior, redirects, SSL validation, and the consequences of publishing pages to your domain.
When you publish through Rankey, Rankey may send content, metadata, URLs, secrets, and related instructions to destinations you configure. You are responsible for maintaining secure receiving endpoints, validating incoming requests, rotating exposed secrets, and monitoring published results.
You may not use Rankey to publish spam, deceptive pages, malware, phishing content, unlawful content, content that infringes third-party rights, or content designed primarily to manipulate search or AI systems in violation of applicable laws or platform rules.
Rankey may generate or update routes, metadata, internal links, sitemaps, robots rules, cache entries, redirects, and hosted page content as part of pSEO or domain publishing workflows. You are responsible for reviewing the public result and for removing, pausing, or correcting pages you do not want published.
DNS propagation, SSL issuance, Cloudflare Custom Hostname validation, origin availability, and third-party publishing endpoints may fail or take time to complete. Rankey may show diagnostic status, but those systems are not fully controlled by Rankey.
8.Third-Party Services
The Services may rely on or integrate with third-party services, including AI model providers, website crawling providers, authentication providers, hosting and database providers, content delivery networks, payment processors, analytics tools, customer support tools, email providers, DNS providers, and publishing destinations.
Third-party services may include OpenAI, Google Gemini, Anthropic Claude, Perplexity, Firecrawl, Supabase, Cloudflare, Stripe, Mailgun, Chatwoot, Google Analytics, Google Tag Manager, and other vendors or integrations that help provide the Services. Your use of third-party services may be subject to their own terms and policies.
Rankey is not responsible for third-party services, third-party model outputs, outages, rate limits, API changes, pricing changes, data practices, or security incidents outside Rankey control. We may change third-party providers when reasonably necessary to operate or improve the Services.
When you enable an integration, OAuth connection, API key, webhook, domain provider, analytics tool, or publishing destination, you authorize Rankey to transmit and receive data through that integration as needed for the feature you configure.
9.Acceptable Use
You may use the Services only for lawful business purposes and in accordance with these Terms, applicable laws, third-party terms, and documentation provided by Rankey.
You may not use the Services to violate law, infringe intellectual property or privacy rights, send spam, conduct phishing or malware activity, generate deceptive content, impersonate others, harass others, publish harmful content, or create content that you are not legally permitted to create or publish.
You may not reverse engineer, copy, resell, sublicense, benchmark for competitive purposes, scrape, overload, disrupt, bypass access controls, probe for vulnerabilities without written authorization, or attempt to access accounts, workspaces, systems, data, or APIs you are not authorized to access.
You may not submit sensitive personal information, payment card data, protected health information, government identifiers, biometric information, or regulated data to the Services unless Rankey has expressly agreed in writing that the Services may process that category of data.
We may investigate suspected misuse and may suspend, limit, or terminate access if we reasonably believe activity violates these Terms, threatens the Services, creates legal risk, or could harm Rankey, other customers, third parties, or the public.
You may not use the Services to train, fine-tune, or substantially improve a general-purpose AI model or competing product unless we have expressly permitted that use in writing.
You may not use the Services in or for any country, person, entity, or end use prohibited by applicable export control, sanctions, anti-corruption, or anti-money-laundering laws.
10.Privacy and Data Processing
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. The Privacy Policy is incorporated into these Terms by reference.
Where Rankey processes personal information on your behalf as a processor, service provider, or subprocessor under applicable privacy laws, we will process that personal information to provide the Services, follow your lawful instructions, and comply with applicable data protection obligations. You are responsible for providing all required privacy notices and obtaining all required consents for personal information you submit to or process through the Services, including information contained in websites, content, prompts, uploads, publishing endpoints, and analytics configurations.
Subprocessors, data transfers, retention, privacy rights, cookies, analytics, and AI processing are described in our Privacy Policy or in any applicable data processing addendum.
11.Rankey Intellectual Property and Feedback
Rankey and its licensors own all rights, title, and interest in the Services, software, interfaces, workflows, designs, models, documentation, templates, know-how, trademarks, logos, and other Rankey materials, excluding Customer Content.
You may not remove proprietary notices or use Rankey marks without our prior written permission. No rights are granted to you except those expressly stated in these Terms.
If you provide suggestions, ideas, requests, or other feedback, you grant Rankey a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation.
Unless you opt out by contacting [email protected], we may identify you or your organization as a Rankey customer using your name and logo in customer lists, presentations, and marketing materials. We will not imply endorsement beyond your use of the Services.
12.Security and Confidentiality
We use commercially reasonable technical and organizational measures designed to protect the Services and Customer Content. No internet service, model provider, DNS provider, hosting provider, or electronic storage system can be guaranteed to be fully secure.
Each party may receive non-public information from the other party that is marked confidential or should reasonably be understood to be confidential. Each party will use such information only to perform under these Terms and will protect it using reasonable care.
You are responsible for your own systems, website security, DNS accounts, publishing destinations, webhook receivers, authentication settings, and backup practices.
If we become aware of a security incident affecting personal information or Customer Content, we will evaluate the incident and provide notices required by applicable law or by a written agreement between us.
13.Suspension and Termination
You may stop using the Services at any time and may cancel paid subscriptions through the billing portal or by following the instructions provided in the Services. Cancellation stops future renewals but does not automatically refund past charges.
We may suspend or terminate access to all or part of the Services if you breach these Terms, fail to pay amounts due, create security or legal risk, misuse credits, violate acceptable use rules, or if continued service would violate law or third-party provider requirements.
After termination, your right to use the Services ends immediately. We may retain Customer Content for a limited period for backup, security, dispute resolution, legal compliance, billing, and audit purposes, as described in the Privacy Policy or applicable written agreement.
Before canceling or closing an account, you should export or copy any Customer Content you need. We may delete inactive accounts, expired trial workspaces, or terminated workspace data after reasonable notice where required by law or written agreement.
14.Disclaimers
THE SERVICES, REPORTS, OUTPUTS, RECOMMENDATIONS, INTEGRATIONS, HOSTED PAGES, AND THIRD-PARTY SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, RANKEY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ERROR-FREE OPERATION.
RANKEY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, TIMELY, ACCURATE, COMPLETE, FREE OF HARMFUL COMPONENTS, OR THAT RESULTS FROM USING THE SERVICES WILL MEET YOUR REQUIREMENTS.
15.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RANKEY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, SEO OR GEO PERFORMANCE, SEARCH RANKINGS, AI MODEL RESPONSES, OR THIRD-PARTY SERVICE FAILURES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RANKEY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO RANKEY FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (USD $100) IF YOU PAID NOTHING.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations apply only to the maximum extent permitted by law.
16.Indemnification
You will defend, indemnify, and hold harmless Rankey, its affiliates, officers, employees, agents, suppliers, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to Customer Content, published content, your domains or publishing destinations, your breach of these Terms, your violation of law or third-party rights, or your misuse of the Services.
17.Copyright and Intellectual Property Complaints
If you believe content made available through the Services infringes your copyright, trademark, or other intellectual property rights, contact [email protected] with enough information for us to identify the material and evaluate the request.
We may remove or disable access to allegedly infringing material, suspend repeat infringers, and take other steps required by applicable law. We may forward your notice to the customer or user responsible for the material.
18.Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms and update the "Last Updated" date. Material changes will apply prospectively unless required by law or necessary to protect the Services, Rankey, customers, or third parties.
Your continued use of the Services after updated Terms become effective means you accept the updated Terms. If you do not agree, you must stop using the Services and cancel any subscription.
19.Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Services will be resolved on an individual basis and not in a class, consolidated, or representative action. Unless applicable law requires otherwise, disputes will be finally resolved by binding arbitration administered by JAMS in Delaware in English by one arbitrator, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.
20.Miscellaneous
These Terms, together with any applicable order form, feature terms, Privacy Policy, and data processing agreement, are the entire agreement between you and Rankey regarding the Services and supersede prior or contemporaneous agreements on the same subject.
If any provision is found unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
Neither party will be liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government action, internet failures, hosting failures, DNS failures, power failures, third-party provider outages, or changes in law.
Headings are for convenience only. Words such as "including" mean "including without limitation." Sections that by their nature should survive termination will survive, including payment obligations, confidentiality, intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous terms.
